These Terms & Conditions (โTermsโ) govern the relationship between Autostock (โAutostockโ, โweโ, โusโ) and approved motor dealers (โDealerโ, โyouโ) using the Autostock platform and services.
By applying to join or using Autostock, you agree to these Terms.
1. Our Role
1.1 Autostock is a UK B2B vehicle access and placement platform.
1.2 Autostock is not a car dealership, not a lender, and not consumer-facing.
1.3 Autostock funds vehicles and places them with approved Dealers to sell under their own business name.
1.4 Dealers remain solely responsible for all retail activities, compliance, customer dealings, and sales processes.
2. Eligibility & Approval
2.1 Only registered UK motor trade businesses with valid motor trade insurance may use Autostock.
2.2 Autostock reserves the right to approve, decline, suspend, or remove Dealers at its discretion.
2.3 Dealers must provide accurate and up-to-date information at all times.
2.4 Approval does not guarantee a minimum volume of vehicle placements.
3. Dealer Responsibilities
Dealers agree to:
3.1 Store, prepare, market, and sell vehicles in a professional and lawful manner.
3.2 Comply with all applicable UK laws and regulations, including consumer protection, trading standards, and data protection.
3.3 Maintain valid motor trade insurance at all times.
3.4 Take reasonable care of vehicles placed with them.
3.5 Not misrepresent Autostock to customers or third parties.
3.6 Act in good faith and in the best interests of the partnership.
4. Vehicle Placement & Sale
4.1 Vehicles are placed with Dealers on a consignment-style basis.
4.2 Autostock retains ownership of vehicles until sold, unless otherwise agreed in writing.
4.3 Dealers sell vehicles under their own business name and remain the seller of record.
4.4 Dealers control pricing, marketing, and the sales process.
4.5 Dealers must not transfer, sub-consign, or otherwise dispose of vehicles without written permission from Autostock.
5. Payment & Fees
5.1 Autostock is paid only upon successful sale of a vehicle.
5.2 Upon sale, Dealers must repay Autostock:
- The vehicle cost funded by Autostock
- Any agreed delivery or related costs
- The agreed Autostock placement fee or revenue share
5.3 Payment must be made promptly in accordance with the settlement terms agreed at placement.
5.4 Autostock may suspend further placements if payments are delayed.
6. Risk, Loss & Insurance
6.1 Dealers are responsible for insuring vehicles while in their possession.
6.2 Dealers are responsible for loss, theft, damage, or misuse of vehicles while under their care, except where otherwise agreed in writing.
6.3 Dealers must notify Autostock immediately of any incident involving a vehicle.
7. No Exclusivity
7.1 The relationship is non-exclusive.
7.2 Dealers are free to source vehicles elsewhere and are not obligated to use Autostock exclusively.
7.3 Autostock is not obligated to supply any minimum number of vehicles.
8. Compliance & Conduct
8.1 Dealers must operate ethically and lawfully.
8.2 Autostock may suspend or terminate access if there is evidence of misconduct, misrepresentation, or breach of these Terms.
8.3 Autostock reserves the right to conduct reasonable checks to ensure compliance.
9. Termination
9.1 Either party may terminate the relationship with reasonable notice.
9.2 Autostock may terminate immediately in cases of serious breach, fraud, non-payment, or regulatory risk.
9.3 Upon termination, any outstanding balances must be settled, and any vehicles in possession must be returned or sold as agreed.
10. Limitation of Liability
10.1 Autostock is not responsible for retail outcomes, customer disputes, pricing decisions, or dealer profitability.
10.2 Autostock shall not be liable for indirect or consequential losses.
10.3 Nothing in these Terms limits liability where prohibited by law.
11. Data Protection
11.1 Both parties agree to comply with UK GDPR and data protection laws.
11.2 Dealer data will be used solely for operating the Autostock platform and compliance purposes.
12. Confidentiality
12.1 Commercial terms, platform processes, and non-public information must be kept confidential.
12.2 This obligation survives termination.
13. Changes to Terms
13.1 Autostock may update these Terms from time to time.
13.2 Updated Terms will be published on the website. Continued use of the platform constitutes acceptance.
14. Governing Law
14.1 These Terms are governed by the laws of England and Wales.
14.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
